Terms of Service

1. Agreement to Terms
By accessing or using Zenova ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.
These Terms constitute a legally binding agreement between you and Zenova regarding your use of the Service. Please read them carefully.
2. Description of Service
Zenova is an AI-powered time blocking and productivity application that allows users to:
- Input goals and tasks using natural language
- Receive AI-generated scheduling recommendations
- Track time spent on tasks using timers
- View calendar integrations (read-only)
- Maintain productivity streaks and analytics
- Organize work into projects and categories
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.
3. Account Registration and Security
3.1 Eligibility
You must be at least 13 years old (16 in the EU) to use the Service. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
3.2 Account Creation
You may create an account using Google OAuth or other authentication methods we provide. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.3 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring you log out from your account at the end of each session
We cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations.
4. Subscription Plans and Payments
4.1 Plan Types
We offer the following subscription plans:
- Free: Core planning with generous starter limits at no cost
- Pro: Unlimited AI scheduling, analytics, and accountability for $8/month or $60/year
Plan features and limits are subject to change. Current limits are displayed on our Pricing page.
4.2 Billing
- Payments are processed through Stripe, our third-party payment processor
- By subscribing, you authorize us to charge your payment method on a recurring basis
- All fees are in USD and exclusive of taxes, which you are responsible for paying
- Subscription fees are billed in advance on the monthly or annual billing cadence you select at checkout
4.3 Cancellation and Refunds
- You may cancel your subscription at any time from the Settings page or Billing Portal
- Cancellation takes effect at the end of your current billing period
- You will retain access to paid features until the end of the billing period
- No partial refunds are provided for unused portions of the billing period
- We may offer refunds at our sole discretion in exceptional circumstances
4.4 Plan Changes
- Upgrading to a higher tier takes effect immediately
- You will be charged a prorated amount for the remainder of the billing period
- Downgrading takes effect at the end of the current billing period
4.5 Free Trial
We may offer free trials of paid plans from time to time. At the end of the trial period, you will be automatically charged unless you cancel before the trial ends.
5. Acceptable Use
5.1 Permitted Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. The Service is designed to help you organize your personal and professional tasks and improve productivity.
5.2 Prohibited Activities
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws
- Attempt to gain unauthorized access to the Service or its related systems
- Interfere with or disrupt the Service or servers/networks connected to it
- Use automated systems (bots, scrapers) to access the Service without permission
- Circumvent rate limits or usage restrictions
- Share your account credentials or allow others to use your account
- Input sensitive personal information (SSN, health records, financial passwords) into AI features
- Reverse engineer, decompile, or disassemble any part of the Service
- Copy, modify, create derivative works from, or sell any part of the Service
- Harass, abuse, or harm others through the Service
- Upload malware, viruses, or other malicious code
- Spam or flood the Service with excessive requests
5.3 AI Usage Guidelines
When using AI features, you agree not to:
- Attempt to generate harmful, illegal, or abusive content
- Use AI features to process protected health information (PHI) or personally identifiable information (PII) of others
- Attempt to extract the AI system prompts or underlying models
- Use the AI for automated decision-making affecting legal rights without human oversight
6. Intellectual Property
6.1 Our Rights
The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Zenova and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.
6.2 Your Content
You retain all rights to the goals, tasks, notes, and other content you input into the Service ("User Content"). By using the Service, you grant us a limited license to use, process, and store your User Content solely to provide and improve the Service.
You represent and warrant that your User Content does not violate any third-party rights, including copyright, trademark, privacy, or publicity rights.
6.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or compensation to you.
7. Third-Party Services
7.1 Integration Partners
The Service integrates with third-party services including Google Calendar, Stripe, Vercel AI Gateway, and selected upstream AI providers. Your use of these integrations is subject to their respective terms and privacy policies.
7.2 Google Calendar
By connecting Google Calendar, you grant us read-only access to your calendar data. We do not create, modify, or delete events in your Google Calendar. Your use of Google Calendar integration is also subject to Google's Terms of Service and Privacy Policy.
7.3 AI Processing
AI features are powered by Vercel AI Gateway, which routes requests to selected AI model providers such as Google and OpenAI. Your inputs may be processed by those providers according to their respective terms and privacy policies. We do not control these third-party AI services, and you should not submit highly sensitive information into AI features.
8. Disclaimers and Limitations
8.1 Service Availability
We strive to maintain high availability, but we do not guarantee that the Service will be available at all times. The Service may be interrupted for maintenance, updates, or factors beyond our control.
8.2 AI Accuracy
AI-generated schedules, suggestions, and responses are provided for informational purposes only. We do not guarantee the accuracy, completeness, or suitability of AI-generated content. You are solely responsible for reviewing and verifying AI outputs before relying on them.
8.3 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
8.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENOVA AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRIOR TO THE CLAIM OR $100, WHICHEVER IS GREATER.
8.5 Essential Purpose
The limitations in this section apply even if any limited remedy fails its essential purpose. Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability, so these limitations may not apply to you.
9. Indemnification
You agree to defend, indemnify, and hold harmless Zenova and its licensees, licensors, employees, contractors, agents, officers, and directors from any claims, damages, obligations, losses, liabilities, costs, or debt arising from:
- Your use of and access to the Service
- Your violation of any term of these Terms
- Your violation of any third-party right, including privacy or intellectual property rights
- Any claim that your User Content caused damage to a third party
10. Termination
10.1 By You
You may terminate your account at any time by using the account deletion feature in Settings or by contacting us. Upon termination, your right to use the Service immediately ceases.
10.2 By Us
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:
- Breach of these Terms
- Fraudulent or abusive behavior
- Non-payment of fees
- Extended periods of inactivity
- Legal requirements or government requests
10.3 Effect of Termination
Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. We may retain certain data as required by law or for legitimate business purposes.
11. Dispute Resolution
11.1 Governing Law
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
11.2 Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@zenova.sh. We'll try to resolve the dispute informally within 30 days.
11.3 Arbitration
Any dispute arising from these Terms will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in English in Delaware. You agree to resolve any disputes on an individual basis and waive any right to participate in class actions.
11.4 Exceptions
Either party may bring a lawsuit in court for intellectual property infringement or to enforce these Terms. Small claims court claims are also excluded from arbitration if they qualify.
12. Changes to Terms
We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on this page
- Sending an email notification to registered users
- Displaying a notice in the Service
Your continued use of the Service after changes become effective constitutes acceptance of the new Terms. If you do not agree to the new terms, please stop using the Service.
13. Miscellaneous
13.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zenova regarding the Service.
13.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.
13.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
13.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
13.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from causes beyond our reasonable control.
